Review these Terms of Service ("Agreement") thoroughly. This Agreement is a legal agreement between the User and Daisen Technologies Ltd. By accepting electronically (for example, clicking “I Agree”), installing, accessing or using the Services, User agrees to these terms. If the User does not agree to this Agreement, then he/she may not use the Services.

2.1 Definitions

User: A person, business, or organization that agrees to these Terms and uses the Jabeda service.

Content: Any information or data shared by either Jabeda or users through the software.

Listing: When a user posts items or content for transaction or display within the platform.

Seller: A user who shares or lists items/content through Jabeda.

Subscription Fee: The fee paid by the user to access Jabeda features, including monthly or yearly charges.

Product Price: The agreed price of a product if Jabeda is used for listing business inventory or items.

Personal Information: Any private data that identifies a user, as defined in privacy laws.

User Guide: The instruction manual provided by Daisen Technologies Ltd. for using Jabeda.

Privacy Policy: Our rules on how we collect, use, and protect user information.

These Terms of Use: Includes this document, the Privacy Policy, and the User Guide.

2.2 Scope

These definitions apply throughout this document, including the Privacy Policy and User Guide, unless clearly stated otherwise or when the context changes their meaning.

3.1 Jabeda is a cloud-based online accounting software that helps users manage their business finances, generate reports, and follow accounting laws. It is developed and operated by Daisen Technologies Ltd., which only provides the platform and does not handle any financial transactions for users.

3.2 All financial tasks, reports, and legal responsibilities are fully up to the user. Daisen Technologies Ltd. will not be involved in disputes, data reviews, or audits unless required by law.

The features and functions of Jabeda are explained in these Terms and the official user guide.

4.1 Agreement to these Terms of Use

By using Jabeda, you agree to follow all rules and responsibilities outlined in these Terms of Use. These rules are an agreement between you (the "User") and Daisen Technologies Ltd., the company that owns and operates Jabeda. If you use the Jabeda platform, it means you have agreed to these Terms.

4.2 Age Requirement

Jabeda is only for users who are 18 years or older. If you are under 18, you are not allowed to use this service.

4.3 False Information in Account Registration

If a person provides false information to register for Jabeda, Daisen Technologies Ltd. reserves the right to immediately suspend or delete the account. This is critical to ensure compliance with legal and financial standards applicable to accounting software.

5.1 User Registration

To use the Jabeda services, you must register for an account by providing accurate and complete information. Registration must be done by the individual, or by someone with the appropriate authority in the case of a company or organization. Providing false, misleading, or incomplete information may result in rejection or suspension of your account.

5.2 Rejection of Registration

Jabeda reserves the right to reject any registration request if:

- You have previously been suspended or banned from using our services.

- You provide false, incomplete, or inaccurate registration details.

- Your activities disrupt, interfere with, or pose a risk to our platform or other users.

- You are found to be involved in or connected to any illegal, violent, fraudulent, or antisocial group or activity.

- We determine, at our sole discretion, that your registration is inappropriate or poses a security or compliance risk.

5.3 User Commitments

When using Jabeda, you agree not to:

- Violate any laws or regulations.

- Engage in fraudulent, threatening, or disruptive behavior.

- Interfere with or damage Jabeda’s services, systems, or reputation.

- Allow any unauthorized person to access or use your account.

5.4 Changes to Registered Information

You must promptly update your account if there are changes to your registration information (e.g., company name, contact details). Jabeda is not liable for issues arising due to outdated or incorrect information if you fail to update it. Actions and communications made before your update may still rely on the previously submitted details.

5.5 Account Information Security

You are solely responsible for the confidentiality and security of your account credentials (email, password, etc.). You may not transfer, sell, lend, or allow others to use your login information.

5.6 Unauthorized Access & Liability

You are fully responsible for any activity performed under your account. If you suspect unauthorized access or account misuse, you must notify us immediately by emailing sales@daisentech.com or calling 01978060008

Jabeda (Daisen Technologies Ltd.) is not responsible for any damage or data loss caused by:

- Unauthorized use due to your negligence,

- Information leaks, hacking, or third-party access,

- Failure to maintain proper backups,

- Misuse or errors from your end or other users of your account.

If a dispute arises due to unauthorized access caused by your negligence, you may be held responsible for any damages to Jabeda or third parties.

6.1 Jabeda reserves the right to modify or update these Terms and Conditions at any time to reflect:

- Changes in our services or features,

- Updates to legal or regulatory requirements, or

- Evolving business practices and user needs.

6.2 We will make reasonable efforts to notify you of significant changes that materially affect your rights. Such notifications may be sent:

- Through a platform-wide service announcement,

- Via email to your registered primary email address.

6.3 If you do not agree with the revised Terms, you have the right to discontinue your use of the Services.

6.4 Your continued access or use of Jabeda after the effective date of any updated Terms shall be considered as your acceptance of the revised Agreement.

6.5 It is your responsibility to periodically review the Terms and Conditions available on our website. Even if no direct notification is provided, by continuing to use the service, you are agreeing to be bound by the most current version of these Terms.

7.1 Grant of License

Upon successful registration, Jabeda (operated by Daisen Technologies Ltd.) grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Jabeda software solely for your organization’s internal accounting and financial management purposes. This license is granted only for lawful, legitimate business use and subject to full compliance with these Terms and Conditions.

7.2 Permitted Use

You are permitted to use Jabeda to:

- Record, process, and manage your financial transactions.

- Generate accounting reports, financial statements.

7.3 Restrictions on Use

You must not, under any circumstances:

- Share, sublicense, sell, lease, rent, or otherwise allow third parties (including other businesses or individuals outside your organization) to access or use Jabeda.

- Reverse-engineer, decompile, disassemble, or otherwise attempt to extract or modify the source code of the software.

- Use Jabeda for illegal purposes or in violation of any applicable law or regulation.

- Modify, reproduce, republish, copy, distribute, or exploit any part of the software or platform for commercial gain beyond your own internal business use.

7.4 Ownership and Rights

All rights, title, and interest in and to the Jabeda software, including any enhancements, upgrades, customizations, and all related intellectual property rights, remain the sole property of Daisen Technologies Ltd. or its licensors. Your use of Jabeda does not grant you ownership of any intellectual property rights in the platform or the content accessed.

7.5 Compliance

You are solely responsible for ensuring that your use of Jabeda complies with:

- All applicable laws and regulations in Bangladesh or your business’s jurisdiction.

7.6 Violation and Termination

Violation of this license, including misuse or unauthorized sharing, will result in the immediate suspension or termination of your access to Jabeda. Legal actions may also be taken if your misuse causes financial or reputational damage to Jabeda or its users.

8.1 Subscription Terms

Jabeda is offered through paid subscription plans. Users must pay the full subscription fee in advance based on the plan they choose. All payments are non-refundable once processed.

8.2 Payment Responsibility

It is the user’s responsibility to ensure that their selected payment method is active and has sufficient balance to complete transactions. If a payment fails or is missed, Jabeda reserves the right to suspend or terminate the user’s account.

8.3 Taxes and Charges

All prices shown on the Jabeda platform are included of government taxes, VAT, or any other applicable charges. These will be added during billing as required by law.

8.4 Plan Upgrades

Users can upgrade to a higher subscription plan at any time. However:

- If you upgrade before the current subscription expires, no refund will be given for the remaining period of the current plan.

- You may also choose to upgrade after your current plan ends.

10.1 When a user chooses to delete their Jabeda account, all data linked to that account will be permanently deleted from our servers. This includes:

- Financial records

- Transaction history

- Generated reports

- Uploaded files or documents

- User profile and settings

Once deleted, this data cannot be recovered under any circumstances. The deletion process is irreversible.

10.2 Before proceeding with account deletion, it is the user’s sole responsibility to ensure that all important data has been backed up or exported. We strongly recommend:

- Downloading financial reports

- Exporting transaction data

- Saving any important files or attachments

Jabeda does not offer automated backups or retain any copy of the data after the deletion request is completed.

10.3 As stated in our Return and Refund Policy, no refunds will be provided for any unused subscription time or remaining features after an account is deleted. Users are advised to plan accordingly before initiating deletion.

11.1 Your data is yours — you fully control and own the information you enter into Jabeda. You remain the sole owner of all content created, uploaded, or stored in your user account.

11.2 We never sell, rent, or misuse your personal or business data. Jabeda will not use, publish, modify, or distribute your content for any commercial, promotional, or marketing purposes without your explicit permission.

11.3 All data transfers are protected using secure encryption to keep your information safe. Your data is handled securely using modern security standards.

11.4 Your data is stored securely with regular backups to ensure it’s always available, even in the event of unexpected loss or corruption.

11.5 You are responsible for ensuring the accuracy, legality, and compliance of the data you enter or manage in Jabeda.

By using our services, you grant Jabeda a limited right to access, store, copy, transmit, reformat, display, or process your data only to:

- Operate and maintain the services.

- Provide technical support.

- Comply with legal or regulatory obligations.

We do not claim ownership of your content and respect your privacy at all times. For more detailed information, please review our Privacy Policy.

12.1 Jabeda follows the tax and accounting regulations of the National Board of Revenue (NBR) in Bangladesh, including but not limited to digital invoicing, electronic TIN (e-TIN) compliance, VAT integration, and financial reporting standards.

12.2 While the software is built to support these standards, it is the responsibility of the user to ensure all necessary NBR approvals, certifications, or registrations are obtained for their specific business operations.

12.3 Users are solely accountable for correct data entry, tax setup, and using the software in accordance with updated NBR guidelines. Jabeda provides the tools but does not guarantee full tax or legal compliance.

12.4 If NBR authorities request access to data or system integration for audits or regulatory checks, users must cooperate and provide access as required by Bangladeshi law.

12.5 Daisen Technologies Ltd. shall not be held liable for any errors, omissions, or penalties that arise due to user misconfiguration or misuse of the system.

We strongly recommend that users consult with certified tax professionals or NBR consultants to verify their compliance status while using Jabeda.

In addition to all other terms and conditions of this Agreement, you agree not to misuse Jabeda or its services in any way. Specifically, you must not:

13.1 Transfer, resell, rent, lease, or otherwise make the Services available to any third party without our written consent.

13.2 Offer or provide any services based on Jabeda to others without obtaining prior written permission.

13.3 Share a single user license among multiple individuals, except when reassigning it to a new individual.

13.4 Attempt to disassemble, reverse engineer, decompile, or create derivative works of Jabeda, unless allowed by applicable law.

13.5 Use third-party links or integrate third-party tools without agreeing to their respective terms and conditions.

13.6 Post, share, or display third-party content (including logos, names, or links) without obtaining written permission from the respective owners.

13.7 Attempt to gain unauthorized access to Jabeda, its infrastructure, systems, user accounts, or related networks.

13.8 Use Jabeda in any way that could overload, disrupt, or damage our servers, systems, or infrastructure.

13.9 Transmit, store, or upload any viruses, malicious code, or other harmful software through the Service.

13.10 Interfere with the performance, functionality, security, or availability of Jabeda, its components, or its user data.

13.11 Impersonate another person or entity, or misrepresent your affiliation with any person or organization.

13.12 Host, upload, or share any information that you do not have the rights or permission to distribute, including confidential or personal data of others.

13.13 Transmit or publish any false, misleading, or harmful information meant to deceive or harass individuals, organizations, or government agencies.

13.14 Use Jabeda to break any applicable laws, rules, or government regulations, whether local, national, or international.

13.15 Use Jabeda to analyze, compare, or benchmark for competitive purposes without prior written consent.

13.16 Alter, remove, or obscure any legal or proprietary notices within Jabeda or its documentation.

Violating any of the above restrictions may result in immediate suspension or termination of your account, legal action, and/or reporting to appropriate authorities.

14.1 While we aim to ensure that Jabeda is available and accessible to users 24/7, we do not guarantee uninterrupted or error-free operation. At times, the service may be unavailable due to scheduled maintenance, software updates, upgrades, or unforeseen technical issues such as server downtime, internet disruptions, or third-party service interruptions.

14.2 During these times, access to Jabeda may be temporarily suspended or limited. We will attempt to notify users in advance whenever possible, especially for planned maintenance, through email or platform announcements.

14.3 Daisen Technologies Ltd. will make reasonable efforts to restore service as quickly as possible but shall not be held liable for any loss of data, business disruption, or financial loss resulting from such downtimes.

By using Jabeda, you acknowledge that occasional service interruptions may occur and agree not to hold the company responsible for any temporary unavailability of the platform.

We reserve the right to terminate unpaid user accounts that remain inactive for a continuous period of 120 days. If your account is identified as inactive:

15.1 We will notify you via email or in-app message before taking any action.

15.2 You will be given the opportunity to back up your data or reactivate your account.

15.3 If no action is taken, we will delete all data associated with the inactive account after the notice period.

Please note:

15.4 Activity in one Jabeda service does not count as activity in another; each service is treated separately.

15.5 For accounts with multiple Branches, as long as one Branch is active, the account will not be marked inactive.

It is your responsibility to ensure regular activity or back up your data to avoid unexpected data loss.

Jabeda reserves the right to suspend or temporarily disable your user account, or restrict access to all or part of the services in the following circumstances:

16.1 Suspension of Services

16.1.1 If we suspect any illegal, unauthorized, or fraudulent activity linked to your account.

16.1.2 Upon request by legal authorities, law enforcement, or government agencies.

16.1.3 Due to extended periods of account inactivity, as defined in our Inactive User Accounts Policy.

16.1.4 In case of system maintenance, security issues, or other operational concerns.

You will be notified via email regarding the reason for the suspension. If you believe your account was suspended in error, you may raise an objection by contacting sales@daisentech.com within 30 days of receiving the notification.

16.2 Termination of Services by Jabeda

We reserve the right to terminate your user account under the following conditions:

16.2.1 If you have materially violated any provision of these Terms and Conditions.

16.2.2 If your account remains suspended or inactive beyond 30 days without resolution.

16.2.3 If required by law, regulatory compliance, or service policy changes.

16.2.4 If technical issues, system upgrades, or discontinuation of specific services make it necessary.

In such cases, your access to Jabeda will be permanently revoked, your login credentials (email and password) deleted, and all your data securely erased from our systems.

16.3 Termination by the User

You may request termination of your Jabeda account at any time. Please be aware:

16.3.1 Account deletion is final and irreversible — all your data will be permanently lost.

16.3.2 No refunds will be provided if you cancel your account while an active subscription remains.

16.3.3 Your termination request must be made through the proper channels provided within the Jabeda platform or by emailing our support team.

16.4 Right to Terminate Beta Access

Jabeda also reserves the right to suspend or terminate access to beta features or experimental services at any time due to technical issues, product updates, or discontinuation of the beta program.

17.1 All rights, titles, and interests in and to the Jabeda software, including but not limited to all copyrights, trademarks, service marks, trade secrets, patents, logos, designs, text, graphics, user interfaces, source code, and other materials contained in or associated with the software ("Intellectual Property"), are the exclusive property of Daisen Technologies Ltd. or its licensors.

17.2 Users are granted a limited, non-transferable license to use the software solely for its intended purposes under these Terms and Conditions. No ownership rights or licenses to the Intellectual Property are transferred to users except as explicitly stated herein.

17.3 Users shall not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or otherwise attempt to derive the source code or proprietary elements of Jabeda without prior written permission from Daisen Technologies Ltd.

17.4 All trademarks, service marks, and logos displayed on the platform are the property of Daisen Technologies Ltd. or their respective owners, and no rights are granted to use them outside the scope of this Agreement.

Unauthorized use of any Intellectual Property may result in legal action, including claims for damages and injunctive relief.

18.1 No Liability for Indirect Damages

We are not responsible for any indirect or unexpected damages caused by using Jabeda, including:

- Loss of profits or sales

- Business interruption

- Loss of data

- Damage to reputation

Even if we were warned that such loss might happen, we are not liable.

18.2 Events Beyond Our Control

"If services are interrupted due to events beyond our control—like natural disasters, internet outages, legal orders, war, or other emergencies—we are not liable for the downtime or any losses caused."

19.1 These Terms and Conditions are governed by the laws of Bangladesh.

19.2 If any disagreement or dispute happens between you and Jabeda, we will first try to solve it peacefully through discussion.

19.3 If we cannot solve the issue through discussion, then the matter will be handled in the courts of Dhaka, Bangladesh.
